📜 1. Acceptance of Terms

Agreement to Terms

By accessing, downloading, or using Voleri (the "Service", "App", "Application"), you agree to be bound by these Terms of Service ("Terms", "Agreement"). If you disagree with any part of these terms, you may not use Voleri.

Alpha Testing Notice

⚠️ VOLERI IS CURRENTLY IN PUBLIC ALPHA TESTING.

By using Voleri during alpha:

  • You acknowledge the app is under active development
  • Features may change, be added, or removed without notice
  • The service may experience bugs, errors, or downtime
  • Your feedback helps shape the product
  • Access to Voleri requires a paid Founders Program subscription

Capacity to Accept

You represent that you have the legal capacity to enter into this Agreement. If you are using Voleri on behalf of an organization, you represent that you have authority to bind that organization.

Age Requirements

  • EU/Portugal: You must be at least 16 years old
  • Rest of World: You must be at least 13 years old
  • Under Age Limit: You must have parental/guardian consent

🏢 2. About Voleri

Service Description

Voleri is an all-in-one life management application designed to help you stay calm, focused, and in control by simplifying your digital life. Voleri combines essential features from planning, wellness, nutrition, productivity, and finance tools into one intentional, privacy-first experience.

Core Modules:

  • 📅 Planner: Tasks, events, daily/weekly/yearly planning
  • 😌 Wellness: Mood tracking, sleep logs, habit building
  • 🍎 Nutrition: Meal logging, hydration tracking, grocery lists
  • 💰 Finance: Expense tracking, budgets, savings goals

Alpha Status

During alpha testing:

  • Access requires a paid Founders Program subscription
  • Features may be added, changed, or removed without notice
  • Service may experience downtime, data issues, or breaking changes
  • Your feedback is invaluable and helps shape the product
  • We make best efforts to protect your data, but alpha software carries inherent risks

No Warranty for Alpha

Voleri is provided "AS-IS" during alpha testing. See Section 8 (Disclaimers & Limitations) for full details.

We are a Portugal-based sole proprietorship operating under Portuguese law.

👤 4. User Accounts

Eligibility

To use Voleri, you must:

  • Be 16+ years old (EU/Portugal) or 13+ years old (other regions)
  • Provide accurate and complete information
  • Not have been previously banned from Voleri
  • Have only one account per person

Account Creation

  • Sign up is performed via Google OAuth (Google Sign-In)
  • You authorize us to access your email, name, and profile picture from Google
  • You are responsible for maintaining the security of your Google account
  • You agree to provide accurate information

Account Security

  • You are responsible for all activity on your account
  • Do not share your account credentials
  • Notify us immediately at support@voleri.app of any unauthorized access
  • We are not liable for losses resulting from unauthorized use of your account

Account Termination

By You:

  • Delete your account anytime in Settings → Account → Delete Account
  • Your data will be permanently deleted within 30 days (see Privacy Policy)
  • You may export your data before deletion

By Us:

  • We may suspend or terminate accounts for:
    • Violation of these Terms
    • Abusive, fraudulent, or illegal activity
    • Harming other users or the platform
    • Prolonged inactivity (12+ months with advance notice)
  • We will provide notice when possible, unless immediate termination is required for legal or safety reasons

Data After Termination

Your data is deleted within 30 days of account termination (see Privacy Policy for details).

📝 5. User Content & Ownership

What is User Content?

"User Content" means any data you create, upload, or submit to Voleri, including:

  • Tasks, events, notes, and calendar entries (Planner)
  • Meal logs, meal plans, and grocery lists (Nutrition)
  • Habits, mood entries, and sleep logs (Wellness)
  • Transaction records, budgets, and savings goals (Finance)
  • Feedback, bug reports, and support messages

You Own Your Content

You retain all ownership rights to your User Content. We do not claim ownership of your personal data.

License You Grant to Us

By using Voleri, you grant us a limited, non-exclusive, revocable license to:

  • Store your content on our servers
  • Display your content back to you in the app
  • Sync your content across your devices
  • Process your content to provide features (analytics dashboards, insights, calculations)
  • Backup your content for disaster recovery
  • Use anonymized, aggregated data to improve the service (if you opt-in to analytics)

This license is:

  • Non-exclusive: You can use your content elsewhere
  • Revocable: Ends when you delete your account or specific content
  • Limited: Only for providing the Voleri service to you
  • Not for sale: We will never sell your personal content to third parties

Your Responsibilities

You are responsible for your User Content and agree NOT to:

  • Upload illegal, harmful, or infringing content
  • Upload malicious code, viruses, or harmful software
  • Impersonate others or provide false information
  • Upload content you don't have rights to use
  • Upload content that violates others' privacy, intellectual property, or rights

We Don't Monitor Content

We do not actively monitor User Content, but we may review content:

  • To respond to support requests
  • To investigate violations of these Terms
  • To comply with legal requirements
  • To protect the safety and security of the platform

Content Removal

We reserve the right to remove content that violates these Terms, without notice.

✅ 6. Acceptable Use Policy

You Agree NOT To:

Illegal Activity:

  • Violate any local, national, or international laws or regulations
  • Use Voleri for any illegal purpose

Harmful Behavior:

  • Harass, abuse, threaten, or harm others
  • Distribute spam, malware, viruses, or harmful code
  • Engage in fraudulent or deceptive practices

Security & Access:

  • Attempt to hack, disrupt, or compromise the service
  • Access others' accounts without permission
  • Bypass security measures or access controls
  • Use automated tools (bots, scrapers, crawlers) without permission

Intellectual Property:

  • Infringe on others' intellectual property rights
  • Reverse engineer, decompile, or copy Voleri's code
  • Remove or modify copyright notices or trademarks

Misuse:

  • Impersonate Voleri staff, other users, or any person/entity
  • Use Voleri for commercial purposes without authorization
  • Create multiple accounts to abuse the service
  • Sell or transfer your account

Consequences of Violations

Violation of this Acceptable Use Policy may result in:

  • Warning or temporary suspension
  • Permanent account termination
  • Legal action and reporting to authorities
  • Liability for damages

💰 7. Pricing, Subscriptions & Payments

Current Status: Alpha

Access to Voleri currently requires a paid Founders Program subscription. There is no free tier during alpha.

  • A Founders Program subscription is required to access the app
  • Alpha testing is voluntary; you may cancel at any time
  • You will NEVER be charged without your explicit subscription signup, clear price disclosure, and your payment authorization

Subscription Model

Founders Program (Active Now — Required for Access):

  • Full access to all modules and features
  • Required paid tier, currently active via Stripe
  • Alpha supporters may receive preferential pricing, extended benefits, or lifetime discounts post-alpha

Future Subscriptions (Post-Alpha):

  • Monthly or annual billing options (details TBD)
  • Pricing and tier structure TBD

Payment Processing

Processor: Via Stripe (our payment processor)

  • Subject to Stripe's terms of service
  • We do NOT store payment card details
  • PCI-DSS compliant processing
  • Stripe Privacy Policy: https://stripe.com/privacy

Billing:

  • Subscriptions auto-renew unless canceled
  • Charged at start of each billing period

Invoices:

  • Provided via email for all payments (Portuguese legal requirement)
  • Issued using AT-certified invoicing software (includes ATCUD code and QR code as required by Portuguese law)
  • Available in your account for download

Cancellation:

  • Cancel anytime in Settings → Account → Manage Subscription
  • Cancellation takes effect at end of current billing period
  • No pro-rated refunds for partial periods
  • Access continues until end of paid period

14-Day Right of Withdrawal (EU Consumer Protection):

  • EU consumers can cancel within 14 days of purchase for full refund
  • No questions asked (EU Directive 2011/83/EU)
  • Request via hello@voleri.app
  • Applies to new subscriptions only
  • Digital services exception: By subscribing and requesting immediate access to Voleri, you acknowledge that you have requested the service to begin before the 14-day withdrawal period expires. Once service has begun at your request, the right of withdrawal is waived in accordance with Article 16(m) of Directive 2011/83/EU.

Price Changes:

  • We may change subscription prices with 30 days advance notice
  • Existing subscribers: Price changes apply at next renewal
  • You can cancel before price increase takes effect

Alpha Tester Benefits:

  • Alpha supporters may receive preferential pricing, extended free trial, or lifetime discounts (details TBD)
  • We appreciate your early support!

VAT (Portuguese Law):

  • Voleri operates under the VAT special exemption regime (Art. 53 CIVA)
  • Prices shown do NOT include VAT — no VAT is charged while our annual turnover remains below the Article 53 threshold
  • Invoices are issued as "IVA – regime de isenção [art.º 53.º do CIVA]" and show €0 tax
  • If our turnover exceeds the Article 53 threshold, we will register for VAT and update pricing with 30 days advance notice to existing subscribers

🎨 8. Intellectual Property

Voleri Owns:

  • The "Voleri" name, logo, and trademarks
  • The website, mobile app, and all code
  • The design, user interface, and visual elements
  • Documentation, marketing materials, and content we create
  • The underlying technology and algorithms

Your Rights:

You may:

  • ✅ Use Voleri as intended (personal, non-commercial use)
  • ✅ Access your own data
  • ✅ Export your data anytime

You May NOT:

  • ❌ Copy, modify, or distribute our code
  • ❌ Use our trademarks, name, or logo without permission
  • ❌ Reverse engineer, decompile, or disassemble the app
  • ❌ Create derivative works based on Voleri
  • ❌ Sell, sublicense, or transfer access to Voleri
  • ❌ Remove or alter copyright notices or proprietary markings

Open Source Components:

Software Libraries: Voleri is built using open-source software libraries. We are grateful to the open-source community for their contributions. A complete list of software licenses is available in the app at Settings → About → Open Source Licenses, including:

  • React, Next.js, Tailwind CSS (MIT License)
  • Supabase JS Client, react-markdown (MIT License)
  • And other essential libraries

Nutrition Data Sources: Our Nutrition module uses data from trusted open databases and research:

  • USDA FoodData Central (United States Department of Agriculture)
  • Open Food Facts (global, crowdsourced database)
  • CIQUAL (French Food Composition Table)
  • CoFID (UK Composition of Foods Integrated Dataset)
  • Swedish Food Agency (Livsmedelsverket)
  • Mifflin-St Jeor equation (calorie calculation with safety guardrails)

Food facts are sourced from these databases, with user-created entries clearly labeled. Always double-check labels if you spot something off.

Full Attribution: Complete attribution and licenses for all open-source components are available in Settings → About → Open Source Licenses.

Feedback & Suggestions:

If you provide feedback, suggestions, or ideas:

  • We may use them to improve Voleri without obligation or compensation to you
  • You grant us a perpetual, worldwide, royalty-free license to use feedback
  • We appreciate your contributions to making Voleri better!

⚠️ 9. Disclaimers & Limitations

AS-IS Basis

VOLERI IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, express or implied, including but not limited to:

No Warranties:

We make NO WARRANTIES about:

  • Fitness for purpose: Voleri meeting your specific needs
  • Uninterrupted service: Service may experience downtime, bugs, or interruptions
  • Error-free operation: Software may contain errors, especially during alpha
  • Data integrity: While we back up data, we cannot guarantee zero data loss
  • Security: While we implement security measures, no system is 100% secure
  • Accuracy: Information and calculations in the app may contain errors
  • Availability: Features may be added, changed, or removed

⚠️ VOLERI IS FOR INFORMATIONAL PURPOSES ONLY.

The Wellness module (mood tracking, sleep logs, habit tracking) is NOT intended to:

  • Diagnose, treat, cure, or prevent any disease
  • Replace professional medical, psychiatric, or psychological advice
  • Be used for medical decision-making
  • Monitor critical health conditions
  • Serve as a medical device or health monitoring system

Consult Healthcare Professionals: Always consult qualified healthcare providers for:

  • Medical advice, diagnosis, and treatment
  • Nutrition guidance (especially for medical conditions)
  • Mental health support and therapy
  • Sleep disorders and serious wellness concerns

We are NOT a HIPAA-covered entity. Do not use Voleri to store Protected Health Information (PHI).

No liability for health decisions: We are not responsible for any health outcomes, decisions, or consequences resulting from your use of Voleri's wellness features.

💰 NOT FINANCIAL ADVICE

The Finance module is for personal budgeting and tracking only.

Voleri does NOT provide:

  • Professional financial advice
  • Investment recommendations
  • Tax advice or planning
  • Accounting services

Consult financial professionals for serious financial planning, investments, or tax matters.

Use at Your Own Risk

You acknowledge and agree that:

  • You use Voleri knowing these limitations
  • Alpha software carries inherent risks
  • You are responsible for your own decisions based on app data
  • We are not liable for any consequences of your use

🛡️ 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Maximum Liability:

Our total liability to you for any claims arising from Voleri is limited to the amount you paid us in the past 12 months.

No Liability For:

We are NOT LIABLE for:

  • ❌ Indirect, incidental, or consequential damages
  • ❌ Lost profits, data, business opportunities, or revenue
  • ❌ Damages from your use of (or inability to use) Voleri
  • ❌ Damages from third-party services or providers
  • ❌ Decisions based on app data (health, financial, etc.)
  • ❌ Data loss, corruption, or unauthorized access
  • ❌ Service interruptions, downtime, or errors
  • ❌ Actions or omissions of other users
  • ❌ Changes to features or pricing
  • ❌ Termination of your account

Exceptions (Cannot Be Limited by Law):

Nothing in these Terms limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by applicable law

Some Jurisdictions:

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. If this applies to you, the above limitations may not apply, and you may have additional rights.

🤝 11. Indemnification

You Agree to Indemnify Us:

You agree to defend, indemnify, and hold harmless Voleri, its owner, employees, contractors, and partners from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of Voleri
  • Your violation of these Terms
  • Your violation of any rights of others (privacy, intellectual property, etc.)
  • Your User Content
  • Your breach of any laws or regulations

Our Role:

We will:

  • Notify you promptly of any claims
  • Cooperate with you in defending claims (at your expense)
  • Have the right to participate in defense with our own counsel

📱 12. Mobile Application (Google Play Store)

Availability:

  • Android App: Available on Google Play Store (Alpha)
  • Web App: Available at voleri.app
  • iOS App: Planned for future release

Google Play Store Terms:

Your use of the Voleri mobile app is also governed by:

  • Google Play Terms of Service
  • Android platform policies

You must comply with Google's terms in addition to these Terms.

Third-Party Terms:

You acknowledge and agree:

  • In-app purchases (future) are processed by Google
  • Refunds for in-app purchases are subject to Google Play Store policies
  • Google Play may have additional data collection and privacy practices
  • We are not responsible for Google's actions or policies

App Updates:

  • We may release updates anytime via Google Play Store
  • Updates may be mandatory for security or compatibility
  • Updates are provided through Google Play Store
  • You should enable automatic updates for best experience

Device Requirements:

  • Android: Version 8.0+ (planned minimum)
  • Internet connection: Required for data sync
  • Storage: Varies based on usage (minimal)

Mobile Permissions:

We request only necessary permissions:

  • Internet (Required): For data syncing
  • Storage (Optional): For data export
  • Notifications (Optional): For reminders you configure
  • Camera (Optional, Future): For barcode scanning

You control permissions in your device settings.

Push Notifications:

  • Opt-in only (you must enable)
  • Types: Habit reminders, task notifications, goal nudges
  • Frequency: Based on your settings (max: daily)
  • Control: Disable in app Settings or device settings
  • No marketing: We do NOT send promotional push notifications without consent

Data Usage:

  • You are responsible for mobile data charges from your carrier
  • Use WiFi to minimize data usage
  • Estimated usage: ~5-10 MB per typical session

Offline Mode:

  • Some features work offline (limited)
  • Data syncs when you reconnect to internet

⚖️ 13. Governing Law & Dispute Resolution

Governing Law:

These Terms are governed by the laws of Portugal.

The laws of Portugal apply to these Terms and your use of Voleri, without regard to conflict of law provisions.

Jurisdiction:

Any disputes arising from these Terms or your use of Voleri shall be subject to the exclusive jurisdiction of the courts of Portugal (district: Porto).

EU Consumer Rights:

Nothing in these Terms affects your statutory rights as an EU consumer under:

  • EU Directive 2011/83/EU (Consumer Rights Directive)
  • Portuguese consumer protection laws
  • Your rights under GDPR (see Privacy Policy)

Dispute Resolution Process:

1. Informal Resolution First: Before filing any legal claim, contact us at hello@voleri.app. We'll work with you to resolve disputes informally within 30 days.

  • Purpose: Official complaint mechanism for Portuguese consumers
  • Legal Requirement: All Portuguese businesses must provide access to complaints book
  • Your Rights: Complaints submitted are forwarded to relevant authorities (ASAE, regulatory bodies)
  • How to Use: File complaints online via the portal or request access through our support team
  • No Cost: Filing complaints is free

4. Portuguese Consumer Arbitration: Portuguese consumers may also use:

  • Centro de Arbitragem de Conflitos de Consumo (Consumer Arbitration Centers)
  • CNIACC: https://www.cniacc.pt (national center)

5. Court Action: If informal resolution fails, disputes will be resolved in Portuguese courts.

No Class Actions:

You agree to resolve disputes individually, not as part of a class action, collective action, or representative proceeding.

🔚 14. Termination

Termination by You:

You may terminate your use of Voleri at any time by:

  • Deleting your account in Settings → Account → Delete Account
  • Stopping use of the service
  • Uninstalling the mobile app

Effect:

  • Your access to Voleri ends immediately
  • Your data is deleted within 30 days (see Privacy Policy)
  • If you're a subscriber (future): Outstanding payments remain due until cancellation takes effect

Termination by Us:

We may suspend or terminate your account:

With Notice:

  • For violation of these Terms (warning first, when possible)
  • For prolonged inactivity (12+ months with advance notice)
  • If we discontinue the service (notice provided)

Immediately (Without Notice):

  • For serious violations (fraud, abuse, illegal activity)
  • To protect safety and security of platform or users
  • If required by law or legal process

Effect of Termination:

Upon termination (by you or us):

  • Your license to use Voleri ends immediately
  • Your data is deleted per Privacy Policy (within 30 days)
  • Outstanding payments remain due (when subscriptions apply)
  • Sections that should survive termination remain in effect (see below)

Survival:

The following sections survive termination:

  • Intellectual Property
  • Disclaimers & Limitations

🔄 15. Changes to These Terms

Right to Modify:

We reserve the right to update, modify, or replace these Terms at any time.

How We Notify You:

Minor Changes:

  • Update "Last Updated" date at top of this page
  • No additional notice required

Material Changes:

  • Email notification to your registered email
  • In-app notification
  • At least 30 days notice before changes take effect

Your Options:

Accept:

  • Continue using Voleri after changes take effect
  • Continued use = deemed acceptance of new Terms

Reject:

  • Delete your account before changes take effect
  • If you're a subscriber: Cancel for pro-rated refund within 30 days of notice

Continued Use = Acceptance:

By continuing to use Voleri after changes take effect, you agree to the modified Terms.

Version Archive:

Previous versions of these Terms are available upon request at hello@voleri.app.

📋 16. General Provisions

Entire Agreement:

These Terms + our Privacy Policy constitute the complete agreement between you and Voleri regarding use of the service.

These Terms supersede any prior agreements or understandings.

Severability:

If any provision of these Terms is found to be invalid, illegal, or unenforceable:

  • That provision is severed from these Terms
  • The remaining provisions remain in full force and effect
  • We will replace the invalid provision with a valid one that reflects our intent

No Waiver:

Our failure to enforce any right or provision of these Terms does NOT constitute a waiver of that right or provision.

Any waiver must be in writing and signed by us.

Assignment:

We may transfer, assign, or delegate these Terms and our rights/obligations:

  • To a parent company, subsidiary, or affiliate
  • In connection with a merger, acquisition, or sale of assets
  • To any successor or acquirer

You cannot transfer or assign your rights or obligations under these Terms without our written consent.

Force Majeure:

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including:

  • Natural disasters (earthquakes, floods, fires)
  • Wars, terrorism, riots, civil unrest
  • Government actions or restrictions
  • Internet or telecommunications failures
  • Server outages or third-party service failures
  • Pandemics or public health emergencies

Notices:

Legal notices to Voleri:

    • Must include: Your name, account email, and description of matter

Notices to You:

  • Via email to your registered email address
  • Via in-app notification
  • By posting on voleri.app website

You consent to receive notices electronically.

Language:

These Terms are available in both English and Portuguese. Use the 🇬🇧 EN / 🇵🇹 PT toggle at the top of the page to switch.

For Portugal-based users: In case of conflicts between the English and Portuguese versions, the Portuguese version governs.

EU Data Act (Regulation 2023/2854):

Voleri complies with the EU Data Act (effective September 2025):

  • Your data is exportable in machine-readable format (JSON) at no cost — via Settings → Privacy → Export My Data
  • No exit fees apply to data portability or transfer
  • You may terminate your account at any time with no minimum notice period
  • Data portability requests are fulfilled within 30 days

Headings:

Section headings are for convenience only and do not affect interpretation of these Terms.

Interpretation:

  • "Including" means "including but not limited to"
  • Singular includes plural and vice versa
  • "Or" is not exclusive (can mean "and/or")

BY USING VOLERI, YOU ACKNOWLEDGE THAT:

  • ✅ You understand Voleri is in alpha testing and carries inherent risks
  • ✅ You understand Voleri is NOT medical or financial advice
  • ✅ You will use Voleri in accordance with these Terms and applicable laws

If you do not agree to these Terms, you may not use Voleri.
